Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you (an individual or an entity, referred to here as “you”) and Ember AI (“SnapDev”, “we”, “us”, or “our”), which operates the SnapDev Marketplace.

By creating an account or using the Marketplace, you agree to these Terms. If you are agreeing on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

1. What the Marketplace is

The SnapDev Marketplace connects you with senior software engineers for real-time help over chat and scheduled calls. You describe what you are stuck on, we match you with an available engineer, and you work with that person directly.

The Marketplace is a service delivered by people. It does not generate code for you, run agents on your behalf, or modify your systems. Any code, configuration or advice you receive comes from an engineer, and it is yours to review before you use it.

2. Accounts and eligibility

You need an account to use the Marketplace. You are responsible for keeping your credentials confidential and for everything that happens under your account.

The Marketplace is intended for professional use by adults. You must be at least 18 years old to create an account. You agree not to create an account if you have previously been removed or banned by us.

3. Plans, engineering hours, and payment

3.1. Subscriptions

Access to the Marketplace is sold as a subscription plan. By subscribing, you authorise us, through our payment processor Stripe, to charge your payment method the fees for your plan on a recurring basis until you cancel. Fees are non-refundable except where the law requires otherwise.

Your first session is free. A new account may reach an engineer once without a plan and without a payment method. The entitlement is one per account, and it is used up by the first session an engineer picks up, whether or not that session was the free one; a request nobody ever answers does not use it up.

3.2. Engineering hours

Plans are measured in engineering hours: time an engineer spends working with you. Your balance, what has been used, and what carries into the next period are shown in your account, and the figures shown there are authoritative.

Unused plan hours roll over once, into the next monthly period, and expire at the end of it: one month, after which they are gone. Hours you buy on top of your plan do not expire with the period.

Hours are a measure of engineer time, not a currency. They cannot be transferred, sold, exchanged, or redeemed for cash.

3.3. Additional hours

You may buy extra hours beyond your plan at the rate shown at the time of purchase. Extra hours are charged immediately and are non-refundable once any part of them has been used.

3.4. Changing or cancelling your plan

You may change or cancel your plan at any time from your account settings. A cancellation takes effect at the end of the period you have already paid for; you keep access until then, and we do not refund the remainder of a period.

3.5. Failed payments

If a payment fails, we may suspend your access to the Marketplace until it succeeds. We may terminate an account whose payment has been outstanding for an extended period.

4. Sessions with engineers

4.1. What a session is

A session is a conversation with an engineer, in chat or on a scheduled call, about a problem you bring to it. Engineers advise, review, pair, and explain. They do not take ownership of your project, and they are not your employees.

4.2. No professional certification or guarantee

Sessions are for guidance and assistance. They do not constitute professional engineering certification, legal advice, financial advice, or a guarantee that any system will be secure, correct, performant, or fit for a particular purpose.

You are responsible for reviewing, testing and validating anything discussed in a session before you rely on it or put it into production.

4.3. Availability and matching

We match you with an engineer who is available and whose experience fits what you have described. We do not guarantee that any specific engineer will be available, that a match will be made within any particular time, or that a session will resolve your problem.

4.4. Ratings and feedback

You may rate an engineer after a session. Ratings and the reviewer’s first name are shown on that engineer’s public profile. Do not include confidential information in a review.

4.5. Our responsibility for engineers’ advice

We are not liable for coding decisions, architectural choices, outages, data loss, or security vulnerabilities arising from advice given in a session. Validate advice before you implement it.

5. Scheduled calls

You can book a call with an engineer at a specific time. Booking is open to every customer, whatever plan you are on. Bookings are made against the engineer’s published availability and are confirmed by email.

You may cancel a booking from your account. Repeatedly failing to attend booked calls without cancelling them may result in your ability to book being restricted, as an engineer’s time is held for you and cannot be given to somebody else.

A scheduled call may be recorded. The points below say what that means; our Privacy Policy describes how a recording is treated afterwards.

  • Where a call happens: Scheduled calls are held on Google Meet, or on Cal Video where the engineer has not connected Google Meet. Booking and reminders are handled by Cal.com.
  • A call may be recorded: We use Fathom to record, transcribe and summarise scheduled calls, so that the engineer can write up the work afterwards and so that what was agreed can be checked. Recording is started by the engineer on the call rather than by the Marketplace, so not every call is recorded. The recording, its transcript and anything derived from them are held by Fathom; the only part that reaches our own systems is a link to the recording, which the engineer may attach to the internal work log for your session.

6. Engineers on the Marketplace

These Terms apply to engineers who take work on the Marketplace as well as to customers, alongside any separate agreement an engineer has with us. Where the two conflict, the separate agreement governs the engineer’s relationship with us.

  • Your profile is public: The name, photo, biography, skills, specialities, availability and ratings on an engineer’s profile are shown to customers browsing the Marketplace.
  • Customer material is confidential: Anything an engineer sees in a session (code, credentials, architecture, business plans) is the customer’s confidential information and may only be used to help that customer.
  • Independent contractors: Nothing in these Terms creates an employment, partnership, or joint-venture relationship between us and an engineer.

7. Your content

7.1. You own it

You keep all rights to everything you bring to the Marketplace: the code, files, repository links, project descriptions and messages you send (“Your Content”). We claim no ownership of it.

7.2. What we may do with it

You grant us a limited licence to host, store, transmit and display Your Content for the sole purpose of operating the Marketplace: showing your messages to the engineer you are talking to, keeping your conversation history readable, and analysing a repository you connect so that an engineer arrives briefed. This licence ends when you delete the content or your account, except for copies retained in backups or as the law requires.

7.3. Do not send us secrets

Conversations are stored so that you and the engineer can read them back later. Do not paste production credentials, API keys, passwords, or personal data belonging to your own users into a chat. Share access through a credential manager or a scoped, revocable token instead.

8. Our intellectual property

The Marketplace itself (the software, its design, the engineer directory, the matching system, and the SnapDev and Ember names and marks) is our property. These Terms grant you a limited, non-exclusive, non-transferable, revocable right to use the Marketplace, and nothing more.

  • No resale or white-labelling: You may not license, sell, rent, lease, transfer, host, or otherwise commercially exploit access to the Marketplace itself.
  • No reverse engineering: You may not reverse engineer, decompile, or attempt to derive the source code of the Marketplace.
  • No benchmarking: You may not use the Marketplace for competitive analysis or benchmarking without our prior written consent.
  • No scraping the directory: You may not scrape, copy, or republish the engineer directory or any engineer’s profile, and you may not use the Marketplace to recruit engineers off the platform.

9. Acceptable use

You agree not to use the Marketplace to:

  • Ask for help building malware, ransomware, or anything designed to disrupt or gain unauthorised access to systems you do not own.
  • Send protected health information, cardholder data, or government-classified material, unless you have signed a specific addendum with us permitting it.
  • Harass, threaten, or discriminate against an engineer or any other user.
  • Impersonate anyone, or misrepresent your affiliation with a person or organisation.
  • Solicit an engineer to work with you outside the Marketplace, or otherwise circumvent our fees.
  • Break any applicable law.

10. Third-party services

The Marketplace relies on third parties to work: among them Stripe for payments, Cal.com for scheduling and for hosting a call on Cal Video, Google Meet for hosting a call where the engineer has connected it, Fathom where a call is recorded, Resend for the emails we send you, and Supabase and Google for sign-in. Your use of those services is governed by their own terms, and we are not responsible for them. The current list is in our Privacy Policy.

11. Termination

11.1. By you

You may stop using the Marketplace and close your account at any time. Cancelling a subscription is described in section 3.4.

11.2. By us

We may suspend or terminate your access immediately, without prior notice, if you breach these Terms, if we are required to by law, or if you fail to pay fees when they are due.

11.3. What happens then

Your right to use the Marketplace ends immediately. We may delete your data in line with the retention periods in our Privacy Policy. Sections that by their nature should survive (ownership, disclaimers, liability, indemnification, and dispute resolution) survive termination.

12. Export controls and sanctions

The Marketplace may be subject to U.S. export control laws, including the Export Administration Regulations (EAR) and sanctions programmes administered by the Office of Foreign Assets Control (OFAC). You represent and warrant that:

  • You are not located in, or a resident of, any country subject to comprehensive U.S. sanctions.
  • You are not on any U.S. government list of prohibited or restricted parties.
  • You will not use the Marketplace to design, develop, or produce nuclear, missile, chemical, or biological weapons.

13. Disclaimers

THE MARKETPLACE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT ANY UPTIME GUARANTEE.

TO THE FULLEST EXTENT PERMITTED BY LAW, SNAPDEV DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT ADVICE OR CODE PROVIDED IN A SESSION IS CORRECT, SECURE, BUG-FREE, OR SUITABLE FOR PRODUCTION. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING AND TESTING IT BEFORE YOU DEPLOY IT.

14. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SNAPDEV BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR USE OF OR INABILITY TO USE THE MARKETPLACE; (B) ANY ADVICE, CODE, OR OTHER MATERIAL PROVIDED BY AN ENGINEER; OR (C) UNAUTHORISED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA.

OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE MARKETPLACE SHALL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

15. Indemnification

You agree to indemnify and hold harmless SnapDev and its officers, directors, employees, and agents from any claims, disputes, demands, liabilities, damages, losses, costs and expenses, including reasonable legal and accounting fees, arising out of or connected with:

  • (a) your access to or use of the Marketplace;
  • (b) your breach of these Terms;
  • (c) your violation of any third-party right, including intellectual property rights; or
  • (d) your implementation of anything discussed in a session.

16. Dispute resolution

16.1. Mandatory arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms, or their breach, termination, enforcement, interpretation, or validity, shall be determined by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The location of the arbitration shall be Wilmington, Delaware.

16.2. Class action waiver

YOU AND SNAPDEV AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

17. Changes to these Terms

We may update these Terms. When we make a material change we will update the date at the top of this page and, where the change materially affects your rights, notify you by email or in the product before it takes effect. Continuing to use the Marketplace after a change takes effect means you accept the updated Terms.

18. General

  • Governing law: These Terms are governed by the laws of the State of Delaware.
  • Severability: If any provision is held invalid or unenforceable, it will be enforced to the maximum extent permissible and the remaining provisions will stay in full force.
  • Entire agreement: These Terms, together with the Privacy Policy and any separate agreement you have signed with us, are the entire agreement between you and SnapDev.
  • Assignment: You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
